GENERAL TERMS AND CONDITIONS
1. SCOPE OF SERVICES
IVCONSULTING shall provide engineering and construction consulting services as defined in the specific Project Agreement. These services include, but are not limited to, EPC project control systems, industrial infrastructure guidance, and refinery modernization project management. All deliverables will be executed according to the professional standards typical of high-level industrial infrastructure consulting.
2. CLIENT RESPONSIBILITIES
The Client agrees to cooperate fully with IVCONSULTING, providing timely access to site locations, personnel, and all necessary technical data required for EPC control systems. The Client is responsible for the accuracy of all information provided and for granting necessary approvals within the timeframes specified in the project schedule.
3. FEES AND PAYMENT TERMS
Fees for consulting services are established based on milestones or time-and-materials as defined in the Project Agreement. Invoices are issued monthly or upon completion of specific stages. Payment is due within thirty (30) days of the invoice date unless otherwise specified. Late payments may be subject to interest charges in accordance with applicable Serbian law.
4. COMPLIANCE WITH LAWS AND REGULATIONS
Both parties agree to comply with all relevant international and local laws, environmental regulations, and safety standards applicable to industrial projects. IVCONSULTING ensures all engineering advice adheres to the latest industry-specific compliance frameworks and ESG standards where applicable.
5. LIABILITY AND LIMITATIONS
To the maximum extent permitted by law, IVCONSULTING's total aggregate liability for any claims arising out of the performance of services shall be limited to the total fees paid by the Client for the specific project stage. Under no circumstances shall IVCONSULTING be liable for indirect, consequential, or punitive damages, including loss of profit or revenue.
6. WARRANTIES AND DISCLAIMERS
IVCONSULTING warrants that services will be performed with a degree of skill and care consistent with industrial standards. All other warranties, express or implied, including warranties of merchantability or fitness for a particular project outcome, are hereby disclaimed unless explicitly agreed upon in writing.
7. CONFIDENTIALITY AND DATA PROTECTION
Both parties shall maintain the confidentiality of all trade secrets, industrial blueprints, and project-specific data shared during the consulting period. IVCONSULTING processes all personal and technical data in compliance with GDPR and relevant local data protection statutes to safeguard industrial integrity.
8. GOVERNING LAW AND JURISDICTION
These General Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Serbia. Any disputes arising from or in connection with these terms, which cannot be resolved amicably, shall be subject to the exclusive jurisdiction of the competent courts in Belgrade.
